  • 1. Introduction

  • These Terms & Conditions ("Terms") apply to all photography, videography and other creative services provided by ILS Media ("we", "our", or "us").

  • By accepting a quotation, paying a deposit or invoice, or otherwise instructing ILS Media to provide services, you ("the Client") agree to these Terms.

  • These Terms do not affect your statutory rights under UK law.

  • 2. Services

  • ILS Media provides a range of creative services, including but not limited to:

  • Photography

  • Videography

  • Drone photography and videography (where applicable)

  • Content creation

  • Event coverage

  • Commercial photography

  • Website design

  • Website management

  • Social media management

  • Digital marketing

  • The services to be provided will be agreed in writing before work begins.

  • 3. Quotations

  • Unless otherwise stated, quotations remain valid for 30 days from the date they are issued.

  • A quotation does not guarantee availability until the booking has been confirmed.

  • 4. Booking Confirmation

  • A booking is confirmed once:

  • Both parties have agreed the scope of work;

  • Any required deposit has been paid; and

  • Confirmation has been provided by ILS Media.

  • 5. Deposits

  • For services with a total value of more than £80, a 25% booking deposit is required to secure your booking.

  • Services valued at £80 or less do not normally require a deposit unless otherwise agreed in writing.

  • The booking deposit forms part of the total agreed price for the service. For example, if a service costs £100, a £25 deposit will be payable when the booking is confirmed, leaving a remaining balance of £75.

  • Deposits are normally non-refundable if you cancel your booking, subject to the rescheduling provisions below and your statutory rights.

  • 6. Payment

  • Unless otherwise agreed in writing:

  • The remaining balance must be paid before final edited photographs, videos or other agreed deliverables are released.

  • Payment must be made using the payment method stated on the invoice.

  • Late payments may delay delivery of your final work.

  • ILS Media reserves the right to charge statutory interest and reasonable recovery costs on overdue invoices where permitted by law.

  • 7. Rescheduling and Client Cancellations

  • If you need to cancel or reschedule your booking, please contact ILS Media as soon as possible.

  • Where possible, we will work with you to rearrange your booking.

  • More than 14 days' notice – your deposit will normally be transferred to a new mutually agreed date.

  • Between 7 and 14 days' notice – one reschedule may be offered, subject to availability.

  • Less than 7 days' notice – your deposit will normally be retained unless exceptional circumstances apply or we are able to fill the original booking.

  • If substantial work has already been completed before cancellation (including planning, travel arrangements, consultations or editing), reasonable charges may still apply.

  • 8. Cancellation by ILS Media

  • If we are unable to provide the agreed services due to illness, equipment failure or other circumstances beyond our reasonable control, we will make reasonable efforts to rearrange the booking.

  • If this is not possible, any payments made for services that cannot be provided will be refunded.

  • ILS Media shall not be liable for any indirect or consequential losses resulting from such cancellation.

  • 9. Client Responsibilities

  • The Client agrees to:

  • Provide accurate information.

  • Obtain any necessary permissions for locations or venues.

  • Ensure appropriate access to venues.

  • Inform us of any important timings or restrictions.

  • Ensure that any required permissions from event organisers have been obtained.

  • Delays caused by the Client may reduce the amount of coverage possible during the agreed booking period.

10. Travel

Unless otherwise agreed in writing, travel within 25 miles of ILS Media's base is included in the quoted price.

For locations beyond this distance, an additional travel charge of 35 pence (£0.35) per mile will apply for the mileage exceeding the initial 25 miles.

Any applicable travel charges will be clearly communicated and agreed with the Client before the booking is confirmed.

  • 11. Creative Style

  • The Client acknowledges that they have reviewed ILS Media's portfolio and understand that creative work is produced in our own artistic style.

  • Editing techniques, colour grading and composition remain at the discretion of ILS Media.

  • 12. Delivery of Work

  • Unless otherwise agreed in writing:

  • Final work will normally be delivered within 14 days of the completion of the photography session, event or other agreed services.

  • Delivery times may vary depending on the scope, complexity and size of the project. Where a longer turnaround is expected, this will be discussed with the Client before work begins.

  • Final work will normally be supplied digitally unless an alternative delivery method has been agreed.

  • Any delivery times provided by ILS Media are estimates and may occasionally be affected by circumstances outside our reasonable control. Where delays occur, we will keep the Client informed.

  • 13. Image Selection and Editing

  • ILS Media will select the images and footage delivered to the Client.

  • RAW files, unedited photographs and unused footage are not normally supplied unless agreed in writing before the project begins.

  • Minor editing requests may be accommodated at our discretion.

  • Extensive additional editing may incur additional charges.

  • 14. Copyright and Licensing

  • Unless otherwise agreed in writing, all copyright and other intellectual property rights in photographs, videos and other creative works produced by ILS Media remain the property of ILS Media.

  • Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable licence to use the final delivered work for the purposes agreed at the time of booking.

  • For commercial projects, this licence will normally permit the Client to use the delivered work in connection with their business, including:

  • Company websites

  • Social media platforms

  • Printed marketing materials

  • Digital marketing materials

  • Promotional literature

  • Business presentations

  • The Client must not:

  • Sell or sublicense the work to third parties.

  • Claim authorship or copyright ownership.

  • Alter the work in a way that misrepresents ILS Media's original creation without prior written permission.

  • Use the work for any unlawful purpose.

  • Any additional licensing requirements, including exclusive licences or extended commercial usage, must be agreed separately in writing.

  • 15. Credit

  • ILS Media appreciates being credited wherever reasonably practical when photographs or videos are published.

  • For commercial projects, the Client is not required to credit ILS Media unless this has been agreed as part of the project.

  • ILS Media reserves the right to identify itself as the creator of the work in its portfolio and marketing materials, subject to any agreed confidentiality arrangements.

  • 16. Portfolio and Promotional Use

  • Unless the Client has requested otherwise in writing before the project, ILS Media may use photographs, videos and other work created during the project for:

  • Portfolio purposes

  • Website galleries

  • Social media

  • Marketing materials

  • Competitions and awards

  • Where appropriate, we will respect reasonable requests for confidentiality.

  • 17. Limitation of Liability

  • While every reasonable effort is made to provide high-quality services, ILS Media's total liability shall not exceed the total amount paid by the Client for the relevant services, except where liability cannot legally be excluded.

  • Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence.

  • 18. Force Majeure

  • ILS Media shall not be liable for delays or failure to perform caused by events beyond our reasonable control, including severe weather, government restrictions, venue closures, transport disruption or equipment failure despite reasonable precautions.

  • 19. Complaints

  • If you are dissatisfied with any aspect of our services, please contact us as soon as reasonably possible so that we have the opportunity to resolve the issue.

  • 20. Governing Law

  • These Terms are governed by the laws of England and Wales.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales unless applicable law provides otherwise.
